Affiliate Terms & Conditions

1. Scope

These Affiliate Terms and Conditions ("Affiliate Terms") govern participation in the Cre8ify Affiliate Program. The Cre8ify platform and the Affiliate Program are operated by UPHORIA FZCO, a Free Zone Company registered at Dubai Silicon Oasis, DDP, Building A2, Dubai, United Arab Emirates (Trade License 141047, DSOA) ("Cre8ify", "we", "us"). These Affiliate Terms supplement the General Terms and Conditions. In case of conflict, these Affiliate Terms prevail. By enrolling in the Affiliate Program — including by activating a public Creator portfolio or otherwise being issued a referral link or code — you agree to be bound by these Affiliate Terms.

2. Eligibility

The Affiliate Program is open to all registered Cre8ify users who are at least 18 years old and have an active account in good standing. Cre8ify reserves the right to approve or reject Affiliate applications at its sole discretion without providing a reason.

3. How the Affiliate Program Works

As an Affiliate, you receive a unique referral link or code. When a new user signs up through your referral link or code and completes a qualifying action (as defined by Cre8ify from time to time), you may earn a commission as described in the platform. Commission structures, rates, and qualifying actions are determined by Cre8ify and may be changed at any time with reasonable notice.

4. Commission Display and Verification — Important Notice

All commission amounts, rates, balances, and earnings displayed within the Cre8ify platform — including but not limited to dashboards, notifications, reports, and account summaries — are preliminary, indicative, and subject to verification by Cre8ify before any payout is processed.

Due to the nature of digital platforms, technical errors, software bugs, system malfunctions, display glitches, calculation errors, or data synchronization issues may occasionally result in inaccurate commission amounts being displayed, credited, or confirmed within the platform interface. Such displayed amounts do not constitute a binding commitment, promise, or guarantee of payment by Cre8ify.

Cre8ify expressly reserves the right to:

(a) Review, audit, and verify all commission amounts before processing any payout.

(b) Correct any commission amounts that were displayed, calculated, or credited incorrectly due to technical errors, system malfunctions, or any other reason.

(c) Adjust, reduce, or withhold commissions that are determined to be the result of fraudulent activity, self-referrals, artificial inflation of referral metrics, or violations of these Terms.

(d) Reverse or reclaim commissions that have already been paid out if they are subsequently found to have been earned through prohibited methods or technical errors.

(e) Suspend payout processing at any time pending the completion of a review or audit.

(f) Reverse, cancel, or reclaim any commission if the underlying order, subscription, or transaction that generated it is refunded, cancelled, charged back, disputed, or otherwise reversed, in whole or in part, at any time.

(g) Withhold, delay, reduce, or refuse payment of any commission, in whole or in part, at its sole and absolute discretion, for any reason it deems appropriate — including, without limitation, suspected violations of these Terms, legal, regulatory, tax, sanctions, anti-money-laundering, or compliance reasons, unresolved disputes, chargeback or fraud risk, or protection of the integrity of the platform — without thereby incurring any liability to the Affiliate.

Affiliates acknowledge and agree that the final, verified commission amount determined by Cre8ify after review shall be the binding and payable amount, regardless of any previously displayed or credited amounts. The display of any commission amount within the platform does not create any legal entitlement to that amount until it has been verified and approved for payout by Cre8ify.

Participation in the Affiliate Program does not create any vested, guaranteed, accrued, or enforceable right to receive any commission. No commission becomes owed or payable unless and until it has been verified and approved for payout by Cre8ify in its sole discretion, and Cre8ify may decline to approve any commission for payout.

5. Prohibited Affiliate Activities

Affiliates must not engage in any of the following activities:

(a) Self-referrals — referring yourself, your own accounts, or accounts you control.

(b) Fake referrals — using fake accounts, bots, or automated tools to generate referrals.

(c) Spam — sending unsolicited bulk messages, emails, or communications to promote referral links.

(d) Misleading promotion — making false, exaggerated, or misleading claims about Cre8ify, its services, or the potential earnings from the Affiliate Program.

(e) Paid advertising on brand terms — running paid ads using "Cre8ify" or related trademarks as keywords without prior written approval.

(f) Cookie stuffing or forced clicks — using deceptive methods to set referral cookies or force clicks on referral links.

(g) Incentivized sign-ups — offering cash, gifts, or other incentives to individuals solely to get them to sign up through your referral link, unless expressly permitted by Cre8ify.

Violations of these rules will result in immediate forfeiture of all pending commissions, reversal of previously paid commissions, and potential account suspension or permanent ban.

6. Commission Payouts

Verified commissions are paid out via Stripe or another authorized payment processor. Payouts require valid banking information (IBAN, BIC, account holder name) and are subject to admin approval. Payout processing may take up to fourteen (14) business days after approval. Cre8ify may establish a minimum payout threshold, which will be communicated within the platform.

Notwithstanding any other provision, all payouts are made at Cre8ify's sole and absolute discretion. Cre8ify may, at any time and for any reason it deems appropriate, withhold, delay, set off, reduce, reverse, or refuse any payout in whole or in part, and may apply holding periods, reserves, or thresholds before releasing funds. Commission balances shown in the platform are not funds held on the Affiliate's behalf, do not accrue interest, and confer no ownership or entitlement until actually paid out. Cre8ify shall not be liable for any loss, damage, or claim arising from a payout that is withheld, delayed, reduced, reversed, or refused in accordance with these Terms.

7. Tax Responsibility

As an Affiliate, you act as an independent contractor and are solely responsible for reporting and paying all applicable taxes on your affiliate earnings in your jurisdiction. Cre8ify does not withhold taxes on affiliate commissions. You are responsible for determining whether any withholding tax, VAT, income tax, or other tax obligations apply to payments received from a UAE-based entity.

8. Modifications to the Affiliate Program

Cre8ify reserves the right to modify, suspend, or discontinue the Affiliate Program — including commission rates, structures, qualifying actions, and payout terms — at any time. Affiliates will be notified of material changes via email or in-app notification at least fourteen (14) days in advance. Continued participation after the effective date of changes constitutes acceptance. Commissions earned and verified before the effective date of any change will be honored at the original rate.

9. Termination of Affiliate Participation

Cre8ify may terminate your participation in the Affiliate Program at any time, with or without cause, by providing notice via email or in-app notification. Upon termination: (a) your referral links will be deactivated; (b) verified and approved commissions earned before termination will still be paid out; (c) unverified or pending commissions may be forfeited at Cre8ify's discretion if earned through prohibited methods.

You may voluntarily withdraw from the Affiliate Program at any time by contacting legal@cre8ify.com or through the platform settings.

10. No Employment or Agency Relationship

Participation in the Affiliate Program does not create an employment, partnership, joint venture, or agency relationship between you and Cre8ify. You have no authority to make any representations, warranties, or commitments on behalf of Cre8ify.

11. Limitation of Liability

Cre8ify's total liability to any Affiliate under these Affiliate Terms shall not exceed the total verified commissions paid to that Affiliate in the twelve (12) months preceding the claim. Cre8ify shall not be liable for any loss of anticipated commissions, loss of referrals, or any indirect, incidental, consequential, or punitive damages arising from participation in the Affiliate Program. Specifically, Cre8ify shall not be liable for any discrepancies between displayed commission amounts and verified payout amounts, including those caused by technical errors.

12. Governing Law & Jurisdiction

These Affiliate Terms and the Affiliate Program are governed by and construed in accordance with the laws of the United Arab Emirates, as applied in the Emirate of Dubai. The Affiliate participates as an independent contractor in a commercial (business-to-business) arrangement with UPHORIA FZCO, a UAE Free Zone Company, and not as a consumer.

Any dispute arising out of or in connection with the Affiliate Program or these Affiliate Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE. The parties shall first attempt to resolve the matter through good-faith negotiation within fourteen (14) days and, failing that, through mediation under the rules of the Dubai International Arbitration Centre (DIAC) before initiating legal proceedings.
